Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Customer”, “you”) and Halespring Public Benefit Corporation d/b/a Vectros (“Vectros”, “we”, “us”). By creating an account, generating an API key, or using the Vectros API, you agree to be bound by these Terms.

1. The Vectros Service

Vectros provides an infrastructure platform comprising hybrid search, structured data records, multi-tenant identity primitives, and AI inference services (conversational chat, retrieval-augmented generation, and document interrogation) accessible via application programming interfaces (the “API”). AI inference is performed using third-party foundation models hosted by our infrastructure sub-processor; the processing location and sub-processors for inference are described in Section 3 and, for Customers who have executed a Business Associate Agreement (BAA), in that BAA and its exhibits.

2. API Access and Security

  • API Keys & Scoped Tokens: You will be provided with API keys (sk_live_, sk_test_) and mechanisms to mint scoped tokens (st_). You are solely responsible for maintaining the confidentiality of your API keys. You agree not to expose your secret keys in client-side code, public repositories, or unsecured environments.
  • Liability for Usage: You are fully responsible for all activity and billing charges incurred under your API keys, whether authorized by you or not. If you suspect a key compromise, you must revoke it immediately in the Developer Portal.
  • Rate Limits and Abuse: Vectros enforces rate limits based on your subscription tier. You agree not to attempt to circumvent these limits. Vectros reserves the right to temporarily suspend or throttle access if your usage poses a security risk or threatens the stability of the platform.

3. Customer Data and Ownership

  • Your Data: You retain all ownership rights to the documents, schemas, and structured records you ingest into the Vectros API (“Customer Data”).
  • Tenant Isolation: Vectros processes your Customer Data in strictly isolated infrastructural namespaces.
  • No AI Model Training: Vectros does not and will not use your Customer Data to train, fine-tune, or improve any generalized or foundational artificial intelligence models. Your data is processed solely to execute the search, retrieval, and AI-inference operations you explicitly request. Prompts and retrieved content sent to the foundation-model service are transient; per our infrastructure provider's foundation-model commitments, they are not retained at the model layer, not shared with model providers, and not used to train models.
  • Data Residency: By default, AI inference over your Customer Data is processed in United States cloud regions. Embedding, indexing, storage, and search remain in United States regions at all times. You may, per tenant, execute a Global Data-Processing Waiver electing to permit your tenant's inference requests to be processed in any global cloud region (for revised pricing); doing so removes the United States residency posture for that tenant's inference path while the waiver is in effect, and — for a tenant carrying PHI — removes the corresponding Business Associate residency representation.   • HIPAA and PHI: If you ingest Protected Health Information (PHI) into the Vectros API, you must be on an eligible subscription tier and execute our Business Associate Agreement (BAA) via the Developer Portal prior to transmitting PHI.

4. Billing, Credits, and Payments

  • Usage-Based Billing: Vectros charges based on the consumption of operations (e.g., document ingest, hybrid search, and AI inference) calculated in Credits.
  • AI Inference Charges: AI-inference operations are billed against a pre-paid inference balance (covering underlying model token cost) and, separately, a per-operation platform charge in Credits. Inference rates may vary by the cloud region serving the request; United States–residency processing may carry a premium relative to global processing under a Global Data-Processing Waiver. Current rates and any region differential are available via the API and the Developer Portal.
  • Payment Processing: Payments are processed by Stripe, Inc., our third-party payment processor. Vectros does not store full payment-card numbers.
  • Payment: Fees are billed monthly in arrears based on your overage, or deducted from your pre-purchased tier allocation. All payments are non-refundable.
  • Suspension for Non-Payment: If payment fails, Vectros will provide notice. Failure to rectify payment, or exhaustion of your pre-paid inference balance, may result in a 402 Payment Required status on the affected API requests and eventual suspension of your tenant.

5. Warranties and Limitation of Liability

  • “AS IS” Basis: The Vectros API is provided “AS IS” and “AS AVAILABLE”. Vectros disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Limitation of Liability: In no event shall Vectros be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenues. Vectros's aggregate liability under these Terms shall not exceed the total amount paid by you to Vectros in the three (3) months preceding the event giving rise to the claim.

6. Termination

You may terminate this agreement at any time by deleting your account and ceasing all use of the API. Vectros may terminate or suspend your account at any time for breach of these Terms. Upon termination, Vectros will delete your tenant and associated Customer Data in accordance with our data retention and erasure schedules: Customer Data in live systems is erased on termination, while a residual copy may persist in access-controlled backups for a bounded period before expiring. Compliance and audit records are retained for the period you configure, in accordance with the retention schedule described in your Business Associate Agreement (where applicable) and our retention policy; billing, usage, and financial records (including records held by our payment processor) are retained as required for tax, accounting, and dispute-resolution purposes independent of Customer Data deletion. Where you have executed a BAA, the erasure and retention service levels in that BAA's exhibits control for PHI.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
